<li><strong>USE OF SERVICES: </strong>(a) The Telecommunications and Network Services provided by CCLD may be used only by the directors, officers and employees of the company, its guests and its agents and consultants while performing service for the company and cannot be resold or distributed to other companies. The services being provided by CCLD will facilitate communications between the Company’s authorized users and the entities reachable through the national Internet. Users of CCLD services shall use reasonable efforts to promote efficient use of the networks to minimize, and avoid if possible, unnecessary network traffic and interference with the work of other users of the interconnected networks. (b) Users of CCLD services shall not disrupt any of the CCLD or other associated networks as a whole or any equipment or system forming part of their systems, or any services provided over, or in connection with any of the CCLD or other associated networks. CCLD services shall not be used to transmit any communication where the meaning of the message, or its transmit distribution, would violate any applicable law or regulation or would likely be highly offensive to the recipient thereof.</li>
<li><strong>CONDITIONS FOR ORDER PROCESSING/ON-TIME INSTALLATION: </strong>Payment must be processed in advance of event for services to be rendered. A detailed floor plan needs to be provided or service is subject to a re-location fee. If no floor plan is provided, services will be installed in the center of customer’s booth. </li>
<li><strong>INTERNET PERFORMANCE DISCLAIMER: </strong>CCLD does not guarantee the performance, routing, or throughput, either expressed or implied, of any data circuit(s) connectivity with regards to the Internet and / or Internet backbones beyond any facility we service.</li>
<li><strong>INTERNET SECURITY DISCLAIMER: </strong>CCLD does not provide security, such as but not limited to firewalls etc. for any data circuit(s) we provide. It is the sole responsibility of the exhibitor or customer to provide any necessary security. With execution of this document the customer is agreeing to Terms and Conditions of this document and will hold CCLD, its agents and contracts harmless for any and all liabilities arising from the use of non-secured data circuits.</li>
<li><strong>VIRUS PROTECTION: </strong>CCLD requires that all devices directly or indirectly accessing CCLD’s network have the latest virus scan software, windows security updates, system patches, and any other technological precautions necessary to protect yourself and others from viruses, malicious programs and other disruptive applications. Any device which adversely impacts CCLD’s network will be disconnected from the network with or without prior notice at CCLD’s discretion. The device(s) in question will remain disconnected from the network until all issues are adequately resolved. Additional charges may apply for trouble diagnosis and / or problem resolution.</li>
<li><strong>CANCELLATION: </strong>Some broadband services and special circuits cannot be cancelled once ordered and will incur charges listed / quoted. Credit will not be given for service installed and not used.</li>
<li><strong>WIRELESS INTERNET: </strong>(a) The use of any wireless device that interferes with the facility wireless data frequency is prohibited. (b) Wireless service is inherently vulnerable to interference from other devices that transmit similar radio frequency signals or that operate within the same frequency spectrum. CCLD cannot guarantee that interference will not occur. CCLD does not recommend wireless service for mission critical services such as product demonstrations. For demonstrations or to present products and other mission critical activity, via the Internet, CCLD recommends customer(s) purchase hardwired services.</li>
<li><strong>EXCLUSIVITY: </strong>CCLD is the exclusive voice/data communications provider for the Georgia World Congress Center, Broward County Convention Center and LeConte Center at Pigeon Forge. As such all outside proxy servers, routers, or any machine used to propagate a single I.P. address to multiply devices are forbidden. Each device, which has the ability to see the internet, must have an I.P. address purchased for that device.</li>
<li><strong>LIMITATION OF LIABILITY: </strong>CCLD’s obligations under this contract are subject to, and CCLD shall not be liable for delays, failure to perform or damage or destruction or malfunction of the equipment or services or any consequence of any of the above, caused, occasioned or due to fire, flood, water, the elements, labor disputes or shortages, utility curtailments, power failure, explosives, civil disturbances, government regulatory requirements, acts of God or public enemy, war military or government requisition, shortages of equipment or supplies, unavailability of transportation, acts or omissions of anyone other than CCLD, its representatives, agents or employees, or any other cause beyond CCLD’s reasonable control. In all situations involving performance or non-performance of equipment or related programs of services furnished under this contract, the customer’s sole and exclusive remedy and CCLD’s sole and exclusive liability will be (i) the adjustment or repair of the equipment or replacement of the parts by CCLD or CCLD’s option, replacement of the equipment, or correction of programming errors or (ii) if, after reasonable and repeated efforts, CCLD is unable to install the equipment or replacement equipment in good working order, or to restore the same to good working order, or to make programming operate, the customer shall be entitle to terminate this contract and receive a refund equal to the excess (if any) of (1) the total amount theretofore paid by customer to CCLD for equipment and services under this contract, or (2) the reasonable value of customer’s use of the equipment and services. In no event shall CCLD be liable to the customer or to any other party for special collateral, exemplary, indirect, or consequential damages, whether such damages occur either prior or subsequent to, or are alleged as a result of, fortuitous conduct, failure of the equipment or services of CCLD or breach of any of the provisions of this contract, regardless of the form of action, whether in contract or in tort, including strict liability and negligence, even if CCLD has been advised of the possibility of such damages, or for any damages caused by the customer’s failure to perform the customer’s responsibilities. Such excluded damages include, but are not limited to, loss of profits, loss of use or interruption of business, or other consequential of indirect economic loss.</li>

<p>This Privacy Policy (the “Policy”) governs the manner in which CCLD Networks collects, uses, maintains, and discloses information collected from you in connection with the CCLD Networks online storefront.</p>

<p>CCLD Networks may collect and store information about you and/or your business including your or your business’s name, email address, phone number, mailing address, accounting transaction data, payment or other financial information, aggregate transaction data, customer sales and order information, third-party data, business data, browser data, devices used, technical information about your means of connection to applications, and any other information or data submitted by you or third parties in connection with our Software Services, Storefronts, or other services rendered pursuant to the Agreement (the “Information”).</p>
<p><strong><span style="text-decoration: underline;">Information Use</span></strong></p>
<p>Information collected may be used in connection with or for purposes of providing services to you, your business, and to others, improving services provided to you, your business, or to others, providing notices to you, complying with applicable law, and any other lawful purpose, including protecting the health or safety of you or others, and monitoring and preventing fraudulent or unlawful third-party activity.</p>
<p><strong><span style="text-decoration: underline;">Commercial Use of Information</span></strong></p>
<p>CCLD Networks will not sell or share the Information with third parties for any commercial purposes without your consent and express agreement. CCLD Networks may, however, use the Information in order to share generic, collective, group, or other non-identifying information about the use of CCLD Networks’s products and services as part of commercial transactions with third parties to help CCLD Networks improve its products and services or for any other lawful purpose.</p>
<p><strong><span style="text-decoration: underline;">Third-Party Service Providers</span></strong></p>
<p>CCLD Networks may use third-party service providers and vendors to assist CCLD Networks in providing its products and services to you and others, including, without limitation, services to host CCLD Networks’s Software Services, Storefronts, payment processes, and other services pursuant to the Agreement. CCLD Networks may also use third-party service providers and vendors to store Information and other data. Any such third parties would have access to your Information for the limited purpose of assisting, as reasonably necessary, CCLD Networks in providing Software Services and other services pursuant to the Agreement.</p>
<p>CCLD Networks may disclose your Information as CCLD Networks reasonably believes is required by court order, governmental directive, or other law, to protect the rights of CCLD Networks, or as otherwise allowed pursuant to the Agreement or applicable law.</p>
<p><strong><span style="text-decoration: underline;">Information Protection</span></strong></p>
<p>CCLD Networks will retain, protect, and process the Information and underlying or related data using commercially reasonable practices. Although CCLD Networks will undertake such efforts to preserve and protect the integrity of the Information, you acknowledge and agree that all security measures have potential risks.</p>
<p><strong><span style="text-decoration: underline;">Customer Control of Collected Data</span></strong></p>
<p>You may decline to provide or submit Information to us, however, some of our Software Services, Storefronts, or other services may not be available to you if you choose not to provide or submit Information. You also have a right to access the Information that we hold (about you) upon reasonable written request.</p>
<p><strong><span style="text-decoration: underline;">Updates to our Policy</span></strong></p>
<p>By entering into the Agreement or the Acknowledgment or by using our products or services, you consent to the collection and use of your Information by us consistent with this Policy and the Agreement. We may change this Policy from time to time, for any reason. Any such changes become effective when posted.</p>
<p>To the extent that this Policy is inconsistent with applicable law, it is the intent of CCLD Networks to comply with applicable law. If there is any conflict between any provision of this Policy and applicable law, such applicable law shall prevail; provided, however, that any such conflicting provision in this Policy shall be curtailed and limited only to the extent necessary to bring it within the legal requirements and the remainder of this Policy shall not be affected thereby.</p>
